1) What these terms cover


These Terms of Service (“Terms”) govern your access to and use of:


  • the TAZAAR website, web dashboard, and mobile apps;

  • our APIs, SDKs, firmware, and related documentation;

  • our cloud services for asset tracking and Digital Product Passports (together, the “Services”); and

  • any TAZAAR-branded hardware devices, tags, and accessories (the “Devices”).



By creating an account, clicking “accept,” or using the Services/Devices, you agree to these Terms.


Who these Terms are for: We operate primarily B2B. If you’re a consumer, additional rights may apply under local law; contact us before using the Services.



2) Accounts & eligibility


  • You must be at least 18 and authorised to bind your organisation.

  • You’re responsible for the confidentiality of credentials and all activity under your account.

  • We may verify identity, refuse service, or suspend accounts for risk, abuse, or non-payment.




3) Subscriptions, fees & taxes


  • Access to the Services may require a paid plan. Prices, features, and usage limits are described at checkout or your Order Form (“Plan”).

  • Plans auto-renew for the same term unless cancelled before renewal.

  • Fees are billed in GBP (unless stated otherwise), exclusive of taxes. You authorise us to charge your payment method for all recurring and one-off fees.

  • Downgrades take effect at the next billing cycle. We do not pro-rate refunds unless required by law or explicitly stated in your Order Form.




4) Trials, beta & free features


Trials and beta features are provided “as is”, may change or end at any time, and may be less reliable than production features.



5) Devices: shipment, activation, warranty


  • Delivery & risk. Title passes on full payment; risk passes on delivery to your carrier/site.

  • Activation. Some Devices require an active Plan and network coverage to function.

  • Use environment. Follow our installation guidelines; misuse voids warranty.

  • Limited warranty (12 months). Devices are free from defects in materials and workmanship under normal use for 12 months from delivery. Our sole obligation is repair, replacement, or refund (at our option). This warranty excludes consumables, damage from misuse, modifications, accidents, or non-TAZAAR firmware.

  • RMA. Contact support for an RMA before returning any Device.




6) Acceptable use (don’t get yourself in trouble)


You will not:

  • track a person or asset without a lawful basis or required consent;

  • violate privacy, export, or surveillance laws;

  • attempt to access data you don’t own;

  • reverse engineer, interfere with, or overload the Services;

  • use the Services for high-risk activities where failure could lead to death or serious harm.


We may suspend or terminate for suspected violations.



7) Customer Data, DPPs & telematics


  • Customer Data. You own all data you input or capture via the Services (including asset metadata, DPP records, telemetry, files).

  • Licence to us. You grant us a worldwide, royalty-free licence to host, process, transmit, and display Customer Data solely to provide, maintain, and improve the Services.

  • Aggregated insights. We may generate anonymised statistics and performance metrics; these are ours, but won’t identify you or your users.

  • Data retention. We retain Customer Data per your Plan and our internal policies. On termination, request export within 30 days; after that we may delete it.




8) Privacy & data processing


Our Privacy Notice and (if applicable) a Data Processing Addendum (DPA) form part of these Terms. We act as processor for Customer Data and as controller for account/admin data. You’re responsible for providing lawful instructions and notices to your users.



9) Third-party services & connectivity


The Services may integrate with third-party platforms, carriers, or cloud providers. Your use of third-party services is governed by their terms. We are not responsible for their performance, availability, or security.



10) Service availability & support


  • We aim for high availability but do not guarantee uninterrupted service. Maintenance windows and incidents can happen.

  • Support channels and response times are described in your Plan or Order Form.




11) Firmware & software updates


We may automatically push firmware or software updates to Devices and apps to maintain security and functionality. You consent to these updates.



12) Intellectual property


  • We (and our licensors) own all rights in the Services, Devices, and the TAZAAR brand.

  • You receive a limited, non-exclusive, non-transferable licence to use the Services during your Plan term.

  • You may not copy, modify, create derivatives of, or resell the Services except as expressly allowed in a reseller agreement.




13) Feedback


If you send ideas or suggestions, you grant us a free, irrevocable licence to use them without restriction or attribution.



14) Compliance, export & sanctions


You will comply with all applicable laws, including export controls and sanctions. You may not use the Services in, or for the benefit of, restricted countries, entities, or persons.



15) Warranties & disclaimers


Except for the Device limited warranty in Section 5, the Services and all related materials are provided “as is” and “as available.” We disclaim all other warranties (express or implied), including merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee accuracy of location data, continuous connectivity, or compliance outcomes—you are responsible for how you use the Services.



16) Limitation of liability


To the fullest extent permitted by law:


  • We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, revenue, data, or goodwill.

  • Our total liability for all claims in any 12-month period is limited to the fees you paid for the Services giving rise to the claim in that period, or £5,000 if no such fees were paid.

  • Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.




17) Indemnity


You will defend, indemnify, and hold us harmless from claims arising out of: (a) your misuse of the Services or Devices; (b) your breach of these Terms; (c) your Customer Data; (d) your failure to obtain necessary consents for tracking or data collection.



18) Suspension & termination


  • You may terminate at the end of your current term by cancelling auto-renewal.

  • We may suspend or terminate immediately for unpaid fees, legal risk, or material breach.

  • On termination: your rights end; fees already paid are non-refundable; and you must stop using the Services and remove our software/firmware where practicable.




19) Changes to these Terms


We may update these Terms from time to time. Material changes will be notified in-app or by email at least 15 days before they take effect (unless required sooner by law or security). Continued use means acceptance.



20) Governing law & venue


These Terms and any dispute or claim (contractual or non-contractual) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.



21) Order of precedence


If there’s a conflict, an executed Order Form, DPA, or specific agreement with you prevails over these Terms, which prevail over site copy and FAQs.



22) Miscellaneous


  • Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.

  • Force majeure. Neither party is liable for failures caused by events beyond reasonable control.

  • Notices. Legal notices to us: [legal@email.com]. Notices to you: your account email.

  • Severability & waiver. If a clause is unenforceable, the rest stands. Failure to enforce is not a waiver.





Optional add-ons (include if relevant)


  • Reseller/Partner terms: discount, branding, territory, marketing approvals, end-customer support responsibilities.

  • SLA: uptime target, credits, exclusions.

  • API Terms: keys are personal, rate limits, no scraping, no competing products with returned data.
